API Terms of Use

These Terms and Conditions of Use (the "Terms of Use") apply to the PPDocs API located at api.ppdocs.com, and all associated sites linked to www.ppdocs.com by PPDocs, its subsidiaries and affiliates (collectively, the "Site"). The Site is the property of PPDocs Inc. ("PPDocs") and its licensors. BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

PPDocs reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, PPDocs grants you a non-exclusive, non-transferable, limited privilege to enter and use the Site.

1. Copyrighted Materials.

User acknowledges that the materials provided through the API, including but not limited to, documents, data, text, graphics, images, and other content, are the property of PPDocs and are protected by copyright and other intellectual property laws. User agrees not to copy, reproduce, modify, distribute, or create derivative works from such materials without the express written permission of PPDocs.

2. Automated Products.

User acknowledges that the use of automated products, also known as "Express" or "Direct" products, provided by the API is at User's sole responsibility and risk. PPDocs makes no warranties or representations of any kind concerning the accuracy, completeness, or suitability of the documents produced using its automated tools. PPDocs shall not be liable for any damages, including but not limited to direct, indirect, incidental, special, consequential, or exemplary damages, arising out of or in connection with User's use of the automated products.

3. Legal Compliance and Indemnification.

User agrees to comply with all applicable laws, regulations, and rules in connection with its use of the API. User further agrees to indemnify and hold harmless PPDocs, its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in connection with User's use of the API or violation of these Terms of Use.

4. Termination.

PPDocs may terminate User's access to the API at any time and for any reason without prior notice. Upon termination, User shall immediately cease all use of the API and delete any data or materials obtained through the API. The provisions of these Terms of Use that by their nature should survive termination shall survive termination, including, without limitation, the indemnification and limitation of liability provisions.

5. Governing Law and Dispute Resolution.

These Terms of Use shall be governed by and construed in accordance with the laws of the [State/Country], without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms of Use shall be resolved by binding arbitration in accordance with the commercial arbitration rules of the [Applicable Arbitration Institution], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

6. Miscellaneous.

These Terms of Use constitute the entire agreement between PPDocs and User concerning the use of the API and supersede all prior or contemporaneous communications, whether oral or written, between the parties relating thereto. If any provision of these Terms of Use is held by a court of competent jurisdiction to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remainder of these Terms of Use shall continue in full force and effect.
